I have a very uneasy feeling about the AGM I am very concerned about the "very complex" AGM. notice from DB.
DB hides behind such words when buying time.
This is a genuine question to which I have no idea of the answer, If wcfc went bump who would get the proceeds from the land sale after the creditors had been paid up?

If WCFC went bump, firstly all the creditors would be paid, then the administrators, and whatever is left should be distributed to company owners, the shareholders. Now consider this, imagine there was a dramatic change to the constitution which allowed certain people to purchase large quantities of shares very quickly - they could make a killing on the ground move. Now that would make for a "complex" AGM!!

I have no faith in anything Dave Boddy says anymore and here are just a few reasons why not...
1) Shareholders were promised a vote on the sale of SGL - PROMISE BROKEN
2) Shareholders were promised full financial details of the sale of SGL at the shareholders meeting in May - PROMISE BROKEN
3) A planning application was to be made by the end of July - DEADLINE MISSED
4) The accounts were due at Companies House on 31 March 2008 - DEADLINE MISSED
5) An AGM was promised for September - DEADLINE MISSED
All we ever get these days is broken promises and missed deadlines. More and more of the same old "jam tomorrow" crap that they have been feeding all supporters and shareholders for the last 6 years or more.
I am sorry if this is an uncomfortable truth Mr Boddy, and by all means have Mr Hallmark look very closely at this posting, but the shocking thing is that everything I have typed within it is TRUE.
The time has come to do the decent thing and step down before the Club disappears forever.

If there is any money left it is shared out amongst the shareholders.
So if after the sale the club has say £1m left (after the sale of the ground and paying off the debts) and the share holding is capped at say 300,000 and they are all paid up, that is £3.33 per share back. If all those shares are not fully paid up the return is more per share.
As it is likely to be more than that us shareholders are in for a windfall!
I would rather have the club than the money thanks

I'll tell you something for nothing Alison - the antics going on at The Lane are winding me up so much, nothing will keep me away from the AGM no matter when or where they call it. I'm sure lots of others who might not have otherwise attended will now be extra keen to do so.

What I do not understand is why the AGM needs someone with experience of chairing AGMs when it should be done by the Chairman!!!

Maybe someones pulling his strings from above, this seems to have the hallmark of someones elses decisions, surely the Chairman, having chaired the AGM's during the last few years of complex negotiations relating to ground sales, and joint ventures with St. Modwen, can handle a few additional applications for Directors!!!!

I have it on good authority that the Board has been delaying the AGM until after the 'Big Bang' experiments in Switzerland are concluded; hoping that the old ground, the Social Club, Nunnery Way, SHAG, the accounts (for this year and last), Uncle Tom Cobbley and all are sucked into a black hole never to be seen again!

From my experience with the recent Trust Election there were very definate numbers for the Trust Board, (4 Elected & 3 Co-Opted) as a minimum requirement in the Constitution. I don't know the "Current Boards" constitution but with only 4 Directors "still standing" they must be close to minimum numbers or even below the required number. Anyone know?

A very salient point and has anyone seen the constitution? A year ago I bought shares in the club. Expecting a copy of the 'rules' or constitution - nothing!! This whole farce really should be investigated. Someone call the cops!! I know its a small backwater club - but I have always suspected that what is occuring is a (poor) gameplan for a few to walk away trousering a lot of money (and I'm not thinking only of the current Board). I've seen similar events in other businesses. It is simply looking like fraudulent activity

The board have stopped attempts at egms using legal technicalities - but now there seems to be two ways to turn the table on them. Firstly as, TJ points out, "is the board now quorate with only four members?" and secondly is it legal for an outside "expert" to chair the agm? How do we find out?
